These Website Terms of Use (“Terms”) govern access to and use of the website owned, controlled or operated by Nitin Lifesciences Limited, including its parent company, subsidiaries, affiliates, group companies and entities under common ownership or control, as applicable (collectively referred to as the “Company”, “NITIN”, “we”, “us” or “our”).
The Website provides information regarding the Company’s pharmaceutical products, brands, contract manufacturing and third-party manufacturing services, business activities, manufacturing capabilities and other related matters.
By accessing, browsing, downloading material from or otherwise using the Website, you acknowledge that you have read and understood these Terms and agree to comply with them, to the extent permitted by applicable law.
If you do not agree with these Terms, you must immediately discontinue your use of the Website.
Where a person accesses or uses the Website on behalf of any company, partnership, organisation or other legal entity, that person represents that they are duly authorised to act on its behalf.
These Terms shall be read together with the Company’s Privacy Policy, Legal Disclaimer, Cookie Policy and any other applicable website policies.
The Website is intended primarily to provide general corporate, pharmaceutical, manufacturing and business information.
Unless expressly stated otherwise in a separate written agreement duly executed or accepted by the Company, the Website shall not constitute:
a. An offer to sell, manufacture, supply, distribute or otherwise deal in any pharmaceutical product;
b. A binding quotation, tender, commercial proposal or assurance of price;
c. A commitment to manufacture or supply any product or quantity;
d. A representation regarding the availability, regulatory status, suitability or uninterrupted supply of any product;
e. An offer of exclusivity, distributorship, agency, partnership, joint venture or any other commercial relationship; or
f. A representation or warranty beyond what is expressly stated in a binding written agreement or required under applicable law.
The Company reserves the right to determine, in its sole commercial discretion and subject to applicable law, whether to respond to any enquiry, entertain any proposal, negotiate any transaction or enter into any business relationship.
The Company reserves the right, at any time and without prior notice, to modify, update, correct, suspend, restrict, discontinue or remove any Website content, product listing, service description, feature or other material.
The Company shall not be obliged to maintain any particular content, product listing, service offering or functionality on the Website.
To the extent permitted by applicable law, the Company shall not be liable solely because information has been changed, updated, withdrawn or made temporarily or permanently unavailable.
The Company may also introduce additional access restrictions or usage conditions for particular Website features where reasonably necessary for security, operational, legal or commercial reasons.
Although the Company endeavours to maintain accurate and appropriate Website content, all information is provided subject to the qualifications, limitations and conditions set out in these Terms and the Legal Disclaimer.
The Company does not warrant that every statement, product description, technical detail, photograph, specification, manufacturing capability, certification, approval, price reference or other item of information will be complete, current, error-free or suitable for any particular purpose.
You shall independently verify all material information with the Company and, where applicable, with the relevant regulatory authority before acting upon it.
To the maximum extent permitted by applicable law, the Company shall not be liable for losses arising solely from reliance on unverified, incomplete, outdated or inaccurate Website information, except where such liability cannot lawfully be excluded.
No user shall treat the publication of information on the Website as a substitute for a formal quotation, approved technical specification, executed agreement, valid regulatory authorisation or other legally required documentation.
All information concerning pharmaceutical products, including product names, formulations, compositions, strengths, indications, dosage, warnings, contraindications, packaging, availability and other particulars, is subject to applicable law and the relevant product-specific regulatory requirements.
The Company does not represent that every product appearing on the Website is approved, registered, available or authorised for sale in every jurisdiction or for every intended use.
Product information may be modified to reflect regulatory changes, manufacturing changes, product-specific requirements or other legitimate reasons.
No Website content shall be interpreted as medical advice, a prescription, a diagnosis, a treatment recommendation or a substitute for consultation with a qualified healthcare professional.
Users must not rely exclusively on Website content to make medical decisions, prescribe medicines, dispense products or determine treatment.
To the extent permitted by law, the Company disclaims responsibility for unauthorised use, improper handling, misuse or use of a product contrary to its approved labelling or applicable professional advice, without prejudice to any mandatory statutory obligation or liability of the Company.
Information regarding contract manufacturing, third-party manufacturing, manufacturing facilities, production capacity, product categories, technical capabilities, quality systems and related services is indicative only and is subject to verification and availability.

f. Availability of raw materials, packaging materials and other necessary inputs;
g. Execution of definitive written agreements and acceptance of applicable purchase orders; and
h. Other legal, regulatory, operational and commercial conditions applicable to the relevant transaction.
The submission of an enquiry, request for quotation, product list, proposed formulation, forecast, purchase intention or other communication through the Website shall not bind the Company to accept the proposal, reserve manufacturing capacity, procure materials, commence production, supply goods or enter into a contract.
No representation, promise or assurance made through a general Website enquiry shall override an executed agreement or a duly authorised written commitment of the Company.
The Company reserves the right to decline or discontinue negotiations or proposals, subject to applicable law and any binding obligation already undertaken.
Use of the Website, submission of an enquiry or exchange of preliminary communications shall not create any agency, partnership, joint venture, employment, distributorship, franchise or other fiduciary relationship between the user and the Company.
No user or third party may represent that they are authorised to act for, make commitments on behalf of, or bind the Company unless such authority has been expressly granted in writing by an authorised representative of the Company.
The Company shall not be bound by unauthorised representations, promises, quotations, commitments or assurances made by any person claiming to act on its behalf.
All intellectual property rights in the Website and its content, including text, product descriptions, photographs, images, graphics, logos, trademarks, brand names, designs, layouts, documents and other materials, belong to the Company or the respective authorised rights holders.
Nothing on the Website grants any user an express or implied licence to use the Company’s trademarks, logos, product brands, copyrighted materials, confidential information or other intellectual property, except as expressly authorised in writing or permitted by law.
Without the Company’s prior written permission, no person shall, to the extent prohibited by applicable law:

The Company reserves all rights not expressly granted.
Any suspected unauthorised use may be subject to appropriate legal action, including claims for injunctive relief, damages or other remedies available under applicable law.
Users shall ensure that information and documents submitted through the Website are accurate, lawful and submitted with the necessary authority.
The Company may, subject to applicable law and its Privacy Policy, use submitted information to assess enquiries, respond to requests, evaluate business opportunities, conduct due diligence and maintain relevant business records.
Unless the Company has expressly agreed otherwise in a separate written confidentiality or non-disclosure agreement, the submission of information through a general Website form or email shall not, by itself, create a contractual obligation of confidentiality or impose an obligation on the Company to accept, develop, commercialise or compensate the submitter for the submitted material.
Users are strongly advised not to submit confidential formulations, proprietary manufacturing processes, trade secrets, patent-sensitive disclosures or other commercially sensitive material through general enquiry channels before appropriate confidentiality arrangements have been established.
Nothing in this clause transfers ownership of intellectual property to the Company or authorises the Company to misuse information protected by an applicable confidentiality obligation, intellectual property right or other mandatory legal protection.

The Company may take appropriate action, including restricting access and pursuing legal remedies, in response to a breach of these Terms, subject to applicable law.
The Website may contain links to third-party websites, portals or services for convenience or informational purposes.
The Company does not control all third-party websites and does not warrant their accuracy, security, availability, quality or suitability.
The inclusion of a link shall not, by itself, constitute an endorsement, recommendation, verification or guarantee by the Company.
To the maximum extent permitted by applicable law, the Company shall not be liable for loss arising solely from the independent acts, omissions, content or practices of third-party websites, except where responsibility is imposed upon the Company by law.
Users access third-party websites at their own discretion and subject to the relevant third party’s terms and policies.
The Company may temporarily or permanently suspend, restrict, modify or discontinue the Website or any feature for maintenance, upgrades, security reasons, operational requirements or other legitimate purposes.
The Company does not guarantee uninterrupted access, compatibility with every device or browser, or complete freedom from technical errors or cybersecurity threats.
Users shall be responsible for maintaining appropriate security measures on their own devices and systems when accessing the Website.
To the extent permitted by law, the Company shall not be liable for indirect loss arising solely from temporary unavailability, technical interruptions or events beyond its reasonable control. This clause does not exclude liability that cannot lawfully be excluded.

The Company may use service providers and technical systems for hosting, security, communications and other legitimate Website functions, subject to applicable legal requirements.
Users must not submit personal data belonging to another individual unless they are lawfully authorised to do so.
The Company reserves the right to restrict or remove unlawful submissions, subject to applicable law and any mandatory recordkeeping or preservation obligations.
The Company may restrict, suspend or terminate a user’s access to the Website where reasonably necessary to protect its rights, operations, information systems, other users or compliance obligations.
Grounds may include a material breach of these Terms, suspected unlawful activity, attempted unauthorised access, infringement of intellectual property rights or a lawful direction issued by a competent authority.
Such action shall be taken in accordance with applicable law and any applicable procedural requirements.
Termination of access shall not affect rights, liabilities or obligations that have accrued before termination.
To the extent permitted by applicable law, the user shall indemnify and hold harmless the Company, its directors, officers and employees against third-party claims, losses, damages, liabilities and reasonable legal costs to the extent directly arising from:
a. The user’s unlawful use of the Website;
b. The user’s material breach of these Terms;
c. The user’s infringement of third-party intellectual property or other legal rights;
d. False or unauthorised representations made by the user concerning the Company; or
e. Malicious code or other harmful material introduced by the user.
Any indemnity under this clause shall apply only to the extent that the relevant loss is attributable to the user’s conduct and is recoverable under applicable law.
Nothing in this clause requires the user to indemnify the Company for losses caused by the Company’s own conduct to the extent such indemnification would be unlawful or unenforceable.
To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, exemplary or consequential losses arising from use of, inability to use or reliance upon the Website.
Subject to applicable law, the Company shall not be responsible for loss arising solely from:
a. Reliance on preliminary, unverified or outdated Website information;
b. Unauthorised use of Website content by third parties;
c. Independent third-party websites or services;
d. Temporary technical interruptions or unavailability beyond the Company’s reasonable control; or

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, liability that cannot lawfully be excluded or limited, or mandatory statutory obligations concerning pharmaceutical products, product safety, consumer protection, privacy or regulatory compliance.
Nothing in these Terms overrides any binding contractual undertaking or mandatory legal right or remedy.
To the extent permitted by applicable law, the Company shall not be responsible for delay or failure in providing Website access or functionality to the extent directly caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, civil unrest, governmental restrictions, interruption of utilities, telecommunications failures, cyberattacks or failures of external service providers.
The Company shall take reasonable steps, where appropriate, to mitigate the effects of such events.
This clause concerns Website availability and does not independently modify obligations under any separate manufacturing, supply or other commercial agreement.
The Company reserves the right to amend these Terms from time to time.
The revised version shall be published on the Website with an updated “Last Updated” date.
Where required by applicable law, the Company shall provide notice, obtain consent or take other necessary steps in relation to material amendments.
Continued use of the Website following publication of revised Terms shall constitute acceptance only to the extent such acceptance is legally effective under applicable law.
If any provision of these Terms is found invalid, unlawful or unenforceable, it shall be limited or modified to the minimum extent necessary, where legally permissible, and the remaining provisions shall continue in effect.
A failure or delay by the Company in exercising a right shall not, by itself, constitute a waiver of that right.
Any waiver shall be effective only to the extent legally permissible and in the circumstances in which it is given.
These Terms shall be governed by and interpreted in accordance with the laws of India.
